Statute of Ukrainian Federation of Informatics
The Statute was accepted by members of Federation on 26.11.1991. On 10.04.1992 it was registered by Executive committee of the Kyiv City Council of People's Deputies Nr. 008-492. The second edition of the Statute with changes was accepted on 13.11.2003
§1. GENERAL REGULATIONS
1.1. The public organization is called the "Ukrainian Federation of Informatics", hereinafter in abbreviated form - "UFI". "UFI" is a voluntary self-managing public organization, which was created for the general activity of its members on a contract basis in interests of realization of the Concept of information of Ukraine, development and strengthening of its structures and communications, increasing in the information resources and means of a society, large-scale and their equi-accessible usage on the basis of methods and means of the system analysis, formation of the information market of Ukraine and its integration into the world market of information.
1.2. Founders of "UFI".
1.3. UFI is the legal person, which owns the separated property, conducts independent separate balance, has settlement, currency and other accounts in banks, can stack on its own behalf agreements/contracts, adopt property and non-property rights, act as the claimant and the respondent in economic court, court and the arbitration court.
1.4. In its own activity "UFI" is guided by the current legislation of Ukraine and this Statute.
1.5 "UFI" is neither political, nor a profitable or commercial public organization.
1.6 For performance of its authorized purposes and tasks "UFI" has the right, according to the current legislation of Ukraine, to found the enterprises, establishments, the organizations with the status of the legal person.
1.7 "UFI" is not responsible for the obligations of the state, and the state is not responsible for obligations of the "UFI".
1.8. "UFI" holds the responsibility for the obligations with all its property on which can be imposed penalty according to the current legislation.
1.9. "UFI" is not responsible for obligations of Federation's members, and members of Federation are not responsible for the obligation of "UFI".
1.10. Members of "UFI" can be participants of other societies, associations, general enterprises, etc.
1.11. "UFI" has its own round seal, a seal with the name, stamps, forms, an emblem, a trademark and other requisites.
1.12. The legal address of "UFI" (the address of the central authorized body) is Kiev 03151, Smilyanska Str., 4.
§ 2. GOALS and OBJECTIVES of FEDERATION
2.1. "UFI" has the following goals:
2.1.1. The promotion of IT in scientific-research activity and education, its application and increase of a level of knowledge in this area,
2.1.2. Association of efforts and means of "UFI" members for assistance to creation a modern information infrastructure with the ramified network of information communications and the distributed systems of data processing in Ukraine,
2.1.3. Modeling and analysis of solutions, sufficing the needs of a society, ensuring it by methods of the system analysis, necessary means of computer facilities and automation,
2.1.4. Forming of the information market in Ukraine and its integration in the world market of information,
2.1.5. Proving of various educational services to the population, wide engaging of Ukrainian public to deriving knowledge and qualifications in use of modern information process engineering.
2.2. The objectives of "UFI" are following:
2.2.1. Supporting the persons, who work in the field of IT, and their professional activity;
2.2.2. Informing public about problems of IT and its influence to development of a society; active involvement in further development of IT;
2.2.3. Supporting the young personnel, including orientations of competitors in the field of IT and handing of the professional awards;
2.2.4. Supporting of women, who are engaged in IT, with the purpose of reaching equal rights;
2.2.5. Providing to a public the recommendations and expressions of a point of view concerning IT;
2.2.6. Contributing to advanced process engineering of appropriate political scheduling and legislation;
2.2.7. Contributing to the new information technologies of education;
2.2.8. Contributing to a deepening of special national education, in particular contributing to a raising of a computer literacy level of the population;
2.2.9. Organization of conferences, festivals, sessions, seminars, reports and exhibitions, connected with them, with the purpose of promoting IT;
2.2.10. Issuing and promoting of the specialized publications;
2.2.11. Contributing to development of norms and standards in the sphere of IT, and also their validation;
2.2.12. Creating of automated data bank information, that contains scientific and technical and other information of all problems of "UFI" activity, including patent and license researches, inventions, rationalization offers, research and experimental - design effort, which have been carried out in Ukraine and outside of its boundaries in the field of IT, computer facilities and automation;
2.2.13. System analysis and information ensuring of processes of social economic transformation in Ukraine;
2.2.14. The ensuring of organizational - methodical, scientific and informational - technological support of a different level programs in the field of IT, expertise and competitions of innovating projects and research, experimental - design efforts, including those connected with a solution of the most important tasks in the field of economy, ecology, social sphere, science and culture;
2.2.15. Further development of the information Concept of a society, development of modes and conditions of its output on the world market of an information and operation in it, preparing of the supplies concerning refinement of normative - legal documents and practice of their application in the field of information activity in the national and international levels;
2.2.16. Cooperation with other national and international organizations, including the problems of information security adaptation of the Concept of constant development of the countries of the world (Rio de Janeiro, 1992) to conditions of Ukraine.
2.3. "UFI" undertakes to appear for freedom, tolerance, truthfulness and virtue in the field of IT. The oriented trend of its activity will be promoting of "Ethical principles of UFI". "UFI" incurs the obligations to improve "Ethic principles" by constant discussions.
2.4. The activity of organs and subsections of UFI has to inform its members, that due to the professional competence, persons, which work in the field of IT are appreciably responsible for forming of human life and environment.
2.5. UFI works independently; it does not put by the prime purpose the self -compensation. The costs of UFI can be used only in the correspondence with the authorized purposes. The members of UFI do not receive any grants from the costs of UFI. Nobody can be granted with any outputs, which do not coincide with the purposes of UFI or excessive fees.
§ 3. MEMBERS of FEDERATION. THEIR RIGHTS AND OBLIGATIONS
3.1 UFI has:
3.1.1 Individual members;
3.1.2 Corporate members;
3.1.3 Associated members;
3.1.4 Honorable members.
3.1.1. Persons, who work and study in the field of IT, and also other physical persons, who are interested in IT, irrespective of a residence and citizenship, can become constant members.
3.1.2. Higher educational establishments, corporations, institutes, libraries, academies, schools, departments, unions and other can become corporate members; the corporate members authorize one person on the representation in frameworks of UFI.
3.1.3. Persons, who work in the field of IT or are interested in IT, and also the persons, who study, can become associated members, if they wish to take part in the work of only one UFI subsection not being constant members of UFI in the correspondence with § 11.3 " the Associated organizations " are associated members of "UFI".
3.1.4. Honorable members can become the figures, who have the special merits in the field of IT or to UFI. For recognizing as an honorable member it is necessary to receive a solution of Federation Council accepted by more than a half of Federation Council Members.
3.2 The petition concerning membership is necessary to be given in written form to appropriate department (local settlement of UFI). The condition of acceptance to number of constant or corporate members is readiness to recognize the Statute of UFI. If the Executive Committee rejects announcement about reception, Federation Council accepts a final solution. The condition for receptions to associated members of a UFI subsection is an agreement of a head of a managing organ of this subsection.
3.3 The membership is vivid at least during the year after acceptance and the next calendar year. The acceptance in a quarter, which does not ensure membership during the full year, leads to not full but partial authorized payment, beginning from the quarter and year of an acceptance.
3.4. The membership stops for physical persons in case of death, for corporate members - in case of liquidation of establishment. Besides, the membership stops:
3.4.1 In result of a voluntary exit from UFI. The announcement about a voluntary exit is given in written form to management of UFI, no later than November 30 of a current year.
3.4.2 In result of an expelling. If the member has debts of payment more than for one year, his membership stops provided that the debt was not liquidated during one week after the letter of reminder with the reference to an expelling from UFI.
3.4.3 In result of an expelling. Federation Council can accept the solution concerning an expelling of individual or corporate member because of important reasons after hearing of the member, particularly in case of his violation of the Statute. The final solution concerning an expelling of an associated member is accepted by managing organ of a competent UFI subsection with more than half of voices of members of the given subsection. For an expelling of a constant or corporate member it is necessary to have a solution accepted by more than half of voices of Federation Council Members, for an expelling of an honorable member it is necessary to have an unanimous solution of Federation Council
3.5 The members of UFI have the right:
3.5.1. To take part in control of UFI activity and to be selected (or represented) in its managing organs;
3.5.2. To receive data, which concern activity of UFI, its financial and property position;
3.5.3. To stop activity in UFI according to established by General meeting order;
3.6. The members UFI are obliged:
3.6.1. To adhere to the Statute and fulfill solutions of UFI control organs, which are connected with realization of its tasks;
3.6.2. To assist UFI in a realization of its purpose, tasks and functions;
3.6.3. To adhere contractual, including property obligations before UFI;
3.7. Suffrage of UFI members:
3.7.1. The individual and corporate members have accordingly so many voices at a voting of UFI, as places they occupy, that is one individual member has one voice and one corporate member has also one voice.
3.7.2. The associated members have the active suffrage only in subsections, which members they are; they have so many voices, as places they occupy.
3.7.3. Summing of voices is impossible.
3.7.4. Elections with the help of mail letters are equated to a reliable electronic election with the help of the computer mail.
§ 4. MEMBER PAYMENTS
4.1. Solutions according to appropriate annual payments are accepted by Federation Council and affirmed during General Meeting. The member payments are operating during one calendar year and are counted up from the beginning of quarter of a year of an entrance. Different members can pay different sum pf payment; low payments for defined groups of people are supposed. The member payments should be paid for a calendar year beforehand; in year of acceptance they are subject to payment from a moment of acceptance of a member.
4.2. As agreed with Executive Committee the UFI subsections can raise additional payments, which are valid during one calendar year.
4.3. The extinction of membership does not cancel the obligation concerning payment of payments, which are subject to payment.
4.4. The payment, which has been already paid by the member in case of stopping of his/her membership can not be returned irrespective the date of such extinction.
4.5. The honorable members are free from payment.
§ 5. ORGANISATION and STRUCTURE of UFI
Government organs of UFI are:
5.1. General meetings.
5.2. President and Executive Committee.
5.3. Federation Council.
5.4. Board of Guardians.
5.5. Management of UFI
§ 6. GENERAL MEETINGS
6.1. The General meeting of the UFI members is a high body of its of government. Annually President convokes regular General Meetings. The objectives and authority of the meeting are such:
6.1.1. Hearing reports of the Executive Committee about past financial year;
6.1.2. Hearing the annual reports, dismissal from duties of Executive Committee, Federation Council and management because of report about auditory checking;
6.1.3. Electing the members of auditory commission during period of current financial year;
6.1.4. Hearing the project of budget for the next year;
6.1.5. Supplement of the preceding candidate list on a post to Federation Council, which will embrace them in a result of a voting by the bulletins, and definition of the final candidate list for current year;
6.1.6. Assigning of a commission as for the definition of the candidates for a voting by the bulletins for the next year; the latter makes up the preceding list selected with the help of voting by the bulletins of the candidates, which take up a post in Federation Council;
6.1.7. Election of selective committee for realization of a voting by the bulletins in the current year;
6.1.8. Definition of a venture and time of holding of the next convention, which will be carried out in one convention;
6.1.9. Expression and hearing of prepositions concerning modifications in the Statute;
6.1.10. Statement of member payments in the next year;
6.1.11. Solution of problems about an extinction of UFI activity
6.2. The general meetings make a decision of majority with involvement in a voting not less than two thirds of UFI members. If the General meetings reject a preposition of Executive Committee or Federation Council, so Executive Committee or Federation Council can present during six months an appropriate preposition on elections with the help of mail letters to all members; the suggestion is accepted, if the simple majority of members, who took part in a voting, approves it. The details concerning elections with the help of mail letters, in particular assigning of a commission under the definition of the candidates and selective committee, and also settling of elections with the help of mail letters and other voting are governed by an "Order of spending election and voting ".
6.3. The extraordinary General meeting should be convoked by the President in written form, if it is wanted by any control organ of UFI or if the convocations are required in written form 25 % of total number of members. The general meeting should be held no later, than in ten weeks after receipt of a preposition.
6.4. The invitation to general meeting is carried out in written form and made in an information organ of UFI with the indicating of the agenda no later, than four weeks before the date of the meeting. The general meeting, which is convoked properly, is always competent.
6.5. All individual and corporate members have the simple active suffrage. The individual members, except members, intended in separating, for the term of their transfer, have the passive suffrage; if a member is elected to administrative board, the paid basic post loses a force during the period of a selective post. If the constant member is also an authorized person of a corporate member, he can fulfill his personal right of a voice together and irrespective of the right of a voice of the authorized person.
6.6. In case of transfer of any General meeting, a protocol on the accepted solutions with the instruction of outcomes of a voting is made, which after its acceptance by general Meeting is signed by leaders of meeting and persons, who ordered the minutes, and is published in an information UFI organ for member's acquaintance with it.
§ 7. PRESIDENT and EXECUTIVE COMMITTEE
7.1. President
7.1.1. The President is at the head of UFI represents its interests outside UFI and, on a mutual agreement with Executive Committee supervises it. Other tasks of the President are:
- Preparation of the Executive Committee meeting, Federation Council and General Meeting;

- Carrying out meetings and providing realization of the solutions by management.
7.1.2. The president is elected from members by election with the help of mail letters; see details in § 7.2.4. The period of office of the President makes up five years. Over this period the President remains on a post till the beginning of realization of the duties by the next elected President.
7.1.3. One and the same person can not occupy a post of the President of UFI for more than two periods.
7.1.4. In case of the President's absence a member of Executive Committee, who occupies a post of the vice-president, will represent the Executive Committee. In case of premature departure of the President a member of Executive Committee, who occupies a post of the vice-president and who has been elected by a maximum quantity of voices, incurs all rights and duties of the President on the current period.
7.1.5. After a termination of period of powers the President becomes a member of guardian Council and under commissions of the Executives incurs representative activity for the term being on a post of the next elected President.
7.2. Executive Committee
7.2.1. The President independently or two persons who occupy posts of the vice-president, represent UFI with a full valid force behind its borders.
The Executive Committee has, in particular, such tasks and authority:
- Elaboration of the instructions for work of UFI
- Assigning and recall of management;
- Assigning of the members of Guardian Council;
- Assigning of the members of UFI representation in domestic and foreign associations or other organs of a national and international importance;
- Decision-making in procedures of examining of the complaints in case of receptions or expelling members.
- The competence of Executives also includes additional questions of UFI, which were not transferred by STATUTE to other organs of UFI.
7.2.2. The Executive Committee consists of the President (§ 7.1) and three persons, who occupy post of the vice-president.
7.2.3. All members of Executive Committee should be individual members of UFI; they occupy public posts.
7.2.4. Appointment on all positions of Executive Committee is carried out by members by way of election with the help of mail letters. The Federation Council has the right to bring in proposition concerning nominees of the President or persons on a post of the vice-president. If only one person is promoted to post of Executive Committee during election with the help of mail letters, he is elected as a member provided that he has gathered more voices "for" than "against". If two or more persons are offered to Executive Committee, a person who has received majority of voices, but not less than two fifth of all voices for this post in Executive Committee is elected. If any of persons, who stand on post in Executive Committee, has not received a necessary amount of voices, the Federation Council searches on this post two other candidates and without General Meeting gives order of new election with the help of mail letters. For election with the help of mail letters quorum is not hold. The selective committee, chosen by General Meeting, (§ 6.1.7) carries out elections with the help of mail letters, and in case of necessity - voting with the help of mail letters. They assign also period, by which documentation concerning election and voting can act, that it could be accepted to attention. The details are regulated by "Order of carrying out election and voting".
7.2.5. The Executive Committee is gathered no less than four times during financial year. It is competent, if even President or other members of Executive Committee are present. In case of equal number of voices at a voting the resolving value has a voice of the President. It has also force, if Executive Committee is present with its full complement.
7.2.6. The Executive Committee determines the rules, in which the competence of separate members of Executive Committee is precisely defined. The rules can be authorized by Federation. Between meetings the Executive Committee can make a decision in written form by reverse mode, at which all members of Executive Committee should have a possibility to state the point of view;
The written mode can be replaced electronically under condition of sufficient confirmation by documents.
7.2.7. In exclusive cases Executive Committee can make decision, not gathering meeting with persons, who take part in meeting as advisers.
7.2.8. President and the other members of Executive Committee can be recalled by Federation Council. The recall can be carried out only for the respectable reason. It requires two thirds member voices of the Council, whose voices have the right. The members of Executive Committee about whom the voting is carried out, have not the right of a voice.
§ 8. FEDERATION COUNCIL
8.1. Federation Council consists of:
8.1.1. Four members of Executive Committee
8.1.2. Twelve posts of Federation Council, which should be defined by direct election with the help of mail letters. One of these posts should be occupied by a representative of students;
8.1.3. Delegate of a department or specialized community, or associated organizations and three delegates of regional groups according to the official duties;
8.1.4. He/she - delegate, who has the official duties and is the representative in the matters of the women and has a consultative voice;
8.1.5. The Head of Guardian Council
8.1.6. Delegate of Consulting organs;
8.1.7. Person who is responsible for issuing of information UFI organ;
8.1.8. Members of Management.
8.2. According to the proposal of Executive Committee Federation Council can make a decision as for the allotment to representatives of other associations a place and voice in Federation Council.
8.3. The period of occupying on a post as a member of Federation Council by election with the help of mail letters, begins accordingly in the year, which follows election, and makes three years; they can be re-elected only once.
8.4. The commission involved in the definition of the candidates, that is pointed by General Meeting (§ 6.1.6), offers to organs of Federation in the correspondence with § § 5.1- 5.4 and all individual and corporate members to make proposals concerning appointing on a post to Federation Council in period determined by the commission. Then commission makes the preceding list of all persons, who advanced their nominees. This list can be supplemented on General Meeting in the correspondence with § 6.1.5. If the number of persons, who advance the nominees, exceeds number of posts in Council, those persons are elected who have collected most of the voices. If the amount of persons, who stand, coincides with an amount of posts, which are substituted, those persons are elected that have gathered more voices "for" than "against". If any of persons, who advance the nominees, has not received a necessary amount of voices, Federation Council searches for the new candidates for this deputy place and gives the instruction as for repeated elections with the help of mail letters without General Meeting. In the correspondence with §§ 8.3 and 8.4 members can be included into structure of Council in an immediate sequence for six years; the details are regulated by the "Regulation of UFI subordinate bodies".
In case of premature departure of a Council member, who is elected by written election and that is not a member of Executive Committee, the principle of eligibility according to an outcome of the election comes into force.
8.5. In case of mail elections each individual or corporate member has one voice for a post in Council, which can be occupied; the accumulation of voices is excluded. The details are regulated by "Order of carrying out Election and Voting"
8.6. Federation Council has such tasks and powers:
8.6.1. Decision making concerning the instructions of UFI work;
8.6.2. Decision making concerning the recommendations of UFI and other estimations, which concern Federations of IT;
8.6.3. Composing of the list of candidates for mail elections on a post of the President and other members of Executive Committee;
8.6.4. Statement of the rules of Executive Committee, extended Executive Committee, management and Guarding Council;
8.6.5. Proposals concerning member payments;
8.6.6. Decision making concerning the project of the budget and solutions as for the application of the off-schedule, non- purpose incomes.
8.6.7. Dedication to honorable members
8.6.8. Decision making about awarding;
8.6.9. Creation and liquidation of specialized communities, UFI departments and other organs, which submit the help, decision making concerning uniting of independent organizations in the correspondence with § 11.3 and concerning dissolution of associations;
8.6.10. Decision making concerning positions about realization of this Statute, in particular:
- Agenda of election and voting
- The rules of UFI departments.
8.6.11. Creation and liquidation of legal independent communities;
8.6.12. Decision making concerning appointment of representatives of other associations with a place or place and voice in Council;
8.6.13. Decision making concerning joining of associated and noncommercial associations and assigning members as representatives of UFI in associated associations;
8.6.14. Proposal concerning liquidation or modification of the purpose of activity of UFI, concerning confluence with other noncommercial joints;
8.6.15. Decision making concerning application of property UFI in case of liquidation;
8.6.16. Proposal concerning modifications in the Statute or expressions concerning such modifications of the third persons;
8.6.17. Consultation of Executive Committee.
8.7. Directly after the beginning of financial year after mail member elections in the correspondence with § 8.1.2 President for the first time convokes Federation Council with representation of the agenda. The president convokes the Council to the next meeting of each financial year at least twice. On a proposal of the third person of members, whose voices have the right, or government, the President is to assign period of extraordinary meeting. The carrying out of extraordinary meeting is supposed to be hold by application of means of telecommunication, if all members of Federation Council are submitted thus a possibility to state the point of view, and solution by a sufficient measure is documented by an electronic means.
8.8. Federation Council is competent, if after the invitation in written form with the indication of the agenda four weeks before the beginning of meeting there are more than half of members, whose voices have the right. If Federation Council is unauthorized, after ascertaining incompetence the President can assign other meeting, on which Council will be competent even then, if among members, whose voices have the right, necessary quorum was not gained. A solution of Federation Council is accepted by majority of voices, if there are no deviations from this Statute settled for special cases. A solution concerning the instructions of UFI work, recommendations of UFI and all other definitions of realization of this Statute demand more than half of the given voices of members of Council, which have the right. Between the meetings Council should make a decision in written form by reverse mode, at which all members of Executive Committee should have a possibility to state the point of view;
The written mode can be replaced by electronic one in case of sufficient documental confirmation. Council can also delegate a solution to Executive Committee, in urgent cases particularly. The solutions, which concern one department, should be accepted at the agreement between the government and Council.
8.9. The members of the Council should be individual members of UFI; they work on public posts.
8.10. In exclusive cases Council can make a decision, not convoking the members with a consultative voice.
§ 9. GUARDIAN COUNCIL
The structure of Guardian Council consists of up to twelve persons, who represent science, national economy and organs of state authority, which render intellectual support to Executive Committee, Federation Council and UFI. Guardian Council is gathered at least once a year. The members of Guardian Council are appointed by Council of Federation once in three years; they determine the rules, which is affirmed by Council, and select from their structure a person, who presides and is the vice-president. The presiding person, or in case of its absence his assistant, can take part in meetings of Executive Committee and Council. The member of Guardian Council can be elected in an immediate sequence up to two times.
§ 10. MANAGEMENT and LOCAL REPRESENTETIVES of FEDERATION, THEIR POWER
10.1. The Executive Committee appoints on a proposal of the President by more than half of members' voices , who have the right, one or several persons in management. The primary assigning of management is carried out with restriction of a minimum in three and maximum in six years. The assigning of managing member comes to an end with a termination of its Contract, with a resignation or recall by Federation Council or by errand of a President with more than half of voices of members, whose voices have the right. Before possible recall Council can listen to this person.
10.2. The management is not an organ of forming the will of UFI. It supports Executive Committee, Federation Council, Guardian Council and General meeting in matters, which concern Federation. It fulfills a solution of other organs of UFI, governs with UFI property by errand of Executive Committees and carries on matters of Executive Committee according to its mission and according to its solutions. A solution of Executive Committee, concerning property and budget of UF, should be approved by management.
10.3. The members of management can take part in meetings of organs and managing organs of UFI departments as the consultants.
10.4. The management can be elected among constant UFI members and can consist of several managing persons, who work for money fee.
10.5. By errand of an Executive Committee the management can open representations and branches.
10.6. If it concerns current operations of UFI government, in particular in a case of realization of solutions of Executive Committee, the management can in a valid order represent Federation independently; the details are regulated by the rules of management, which is carried out by Executive Committee and affirmed by Council.
§ 11. SUBORDINATE BODIES of UFI
11.1. On the advice of the Federation Council Executive Committee shall be authorised to establish subcommittees, task forces and other subordinate bodies as may be necessary to achieve the goals and objectives of UFI. UFI can open such subordinate bodies:
- Specialized groups of firms and community;
- Regional groups;
- Consulting organs;
- Subject groups.
The subordinate bodies have not the status of a legal person. The specialized groups of firms and community are divided, as a rule, in specialized groups. Some common specialized groups can create specialized committees as higher managing organ or as an organizer of common activity. The task, organizational structure, and also right and duties of appropriate managing organs of subordinate bodies are explained in details in " Regulation of UFI subordinate bodies". For realization of election and the voting there is mandatory "Order of spending of election and voting". For common subdivisions with other communities on stimulating IT operating there are special positions approved by Council. The members of managing organs of UFI subdivisions, except managing organs of specialized communities and common subdivisions with other communities, should be individual UFI members. The experts, who are invited in UFI managing organs, should be individual UFI members.
11.2. For the special tasks Executive Committee or Council can create commissions or transmit these tasks to separate members. For the tasks, which are limited in time and also have an extreme value for UFI or IT, the Council can create the Council work groups accordingly to one financial year. The prolongation of a realization period of commissions of Council work group accordingly to one year is admitted. For the term of occupying the post the delegate of this work group is considered to be a Council member with a consultative voice.
11.3. Associated organizations
The presidium of UFI can accept related organizations as associated organizations, if their managing organ accepts a member, who is directed by Executive Committee or Council, as a representative with a place and consultative voice. The associated organizations are legally independent, a position § 11.1 is not widespread on them. The members of associated organizations are associated UFI members. The chairman of associated organization is a Council UFI member from a moment of joining with a place and consultative voice (§ 8.1.3 Statute).
§ 12. PROPERTY and FUNDS of FEDERATION
12.1. UFI can have property and funds that are necessary for the realization of the authorized activity.
12.2. The property of UFI is formed at the expense of such sources:
12.2.1. Acceptance fees of the UFI members;
12.2.2. Additional payments of the UFI members by material, money resources, and also values, which have a cost evaluation;
12.2.3. Voluntary and charitable payments, donations of physical and legal persons;
12.2.4. Financial help and support of organs of state authority and local self-management;
12.2.5. Property and profits of firms created by UFI for reaching of the authorized purposes and tasks.
12.3. UFI is an owner of costs and property acquired or obtained on foundations not prohibited by the current legislation of Ukraine
§ 13. SUPPORT of the REGISTRATION. FINANCIAL YEAR
13.1. The financial year is a calendar year.
13.2. Operating, accounting and statistical registration and reporting of UFI are carried out due to accepted order.
13.3. The financial outcomes of UFI activity are determined on the base of annual accounting report.
The financial reports of UFI are made by Management for every year, which is completed, and represent the total incomes and expenditures of UFI both in national, and in foreign currency. The transfer of foreign currency into national is carried out according to official currency course on a moment of realization of appropriate operations.
§ 14. ORDER of MODIFICATIONS and ADDITIONS to the STATUTE of FEDERATION
The proposals concerning modifications of the Statute should be sent to Federation Council in written form or can be represented by the Council. Federation Council brings proposals, represented to it concerning modifications of the Statute in the agenda of the nearest General Meeting and can add to them an appropriate point of view. The General Meeting can join this point of view or take the different solution. The proposal about a modification of the Statute together with basing, and in case of necessity with thoughts of Council and General Meeting, is showed to members for a written voting. The proposal about modifications is accepted, if the petitions are approved by a third of voting members, but no less than 20% of UFI members. The alternate proposals about modifications of a similar content should be showed to members together. If majority of voices is given to more than one of the proposals, the solution concerning both proposals is accepted in the following election by majority of voices. The details are governed by an "Order of carrying out of election and voting ". The proposals about modifications of the Statute from collectives should be signed by at least hundred individuals or corporate members, the proposals should arrive to Council at least four months before the date of carrying out of General Meeting. In case of an agreement of persons, who bring in proposals, Council or the General Meeting can change the presented proposals. Concerning modifications of the Statute, which are necessary through issuing of a finance administration, which concern a common favor of UFI, or caused by issuing to court of the first instance, Council can make a decision independently, if it does not concern participation of members in forming the will.
§ 15. EXTINCTION of FEDERATION ACTIVITY
15.1. For liquidation of UFI, reorganization, modification of the purpose of its activity or modification of this paragraph it is to necessary to receive a written solution of Federation Council accepted by three quarters of member voices, in case of a written voting a necessary confirmation by three quarters of voting members, but not less than 20 % of UFI members is necessary.
15.2. In case of liquidation or closing of UFI, or in case of a modification of the preceding purpose of activity the UFI property can not be distributed between UFI members, but is transmitted to corporation of public law or other public organization, which are determined by Federation council, for application in common useful purposes with the purpose of contributing to development of IT.
115.3. In case of UFI reorganization all rights and the duties of UFI are passed to its assignee (assignees).
15.4. Solution about, how the UFI property can be applied in case of liquidation or closing or in case of a modification of the preceding purpose of activity, should be fulfilled only after endorsing an appropriate organ of the state.
§ 16. ADDITIONAL POSITIONS
This Statute can be supplemented by positions concerning realizations, which are not the constituents of the Statute. Such positions are;
16.1. " An Order of carrying out of election and voting ".
16.2. " The Regulation of UFI subordinate bodies".
16.3. " Ethical principles of UFI "
The solutions concerning them are accepted by Council with more than half of members' voices, whose voices have the right. They are mandatory for all organs and subdivisions of UFI
